Licence and terms of use
En esta página
These terms apply to Readings Manager, its installer, its updates and this documentation (together, the Software). The Software is made by XTREME SOFTWARE SOLUTIONS (XSSIT) for one government municipality and its water utility (the Municipality). Installing, activating or using the Software means accepting these terms. Where a written agreement between XSSIT and the Municipality says otherwise, that agreement prevails.
1. A private, custom tool
The Software was built to order as an internal tool for the Municipality. It is not a product for sale and is not offered, licensed or supported for any other person, company or public body.
2. Licence
XSSIT grants the Municipality a non-exclusive, non-transferable licence to install and use the Software, in its compiled form only, on the computers its licence key allows, for the Municipality's own internal meter-reading and billing work. The Municipality's employees and contractors may use it only on the Municipality's behalf. The Software is licensed, not sold. Every right not expressly granted here is reserved by XSSIT.
3. Ownership and source code
The Software, its source code, object code, design, screens, file formats, documentation and every copy and update of them are and remain the sole and exclusive property of XTREME SOFTWARE SOLUTIONS, including all copyright and other intellectual property rights.
The source code is never delivered, disclosed, sold, licensed or shared, with the Municipality or with any other person or entity. No part of these terms or of any purchase, licence or service gives anyone a right to it.
Custom work done for the Municipality does not transfer ownership of the Software or of its source code.
The Municipality's own data (see section 5) is not part of the Software and stays the Municipality's.
4. What is not allowed
Neither the Municipality nor anyone using the Software may, or may allow anyone else to:
reverse engineer, decompile, disassemble or otherwise try to obtain the source code, structure or algorithms of the Software, including its program files, its Java modules, its runtime and its start-up cache, except to the extent the law expressly allows it in spite of this restriction;
modify, translate, adapt or build other works from the Software;
copy the Software, except installing it on licensed computers through its own setup program;
sell, rent, lend, sublicense, publish, share or otherwise make the Software or its installer available to any third party;
disable, bypass or tamper with the licence check, the update check or any other protection;
share licence keys outside the Municipality, or use one key on more computers than it allows;
remove or change any copyright, trademark or ownership notice;
use the Software, its documentation or what is learned from them to make a similar or competing product.
5. Data
The readings, accounts, addresses and files the Software processes belong to the Municipality. The Software works on them on the Municipality's computers and sends readings only to the readings server the Municipality configures. To check the licence and offer updates it contacts XSSIT's licence service with the licence key and technical details of the installation (such as the app version and a device identifier); it does not send readings to XSSIT.
The Municipality is responsible for its data: keeping backups, protecting its computers and servers, and controlling who uses the Software.
6. Correct use
The Software must be used as described in this documentation, by trained staff. The Municipality is responsible for checking every result (readings, reports, AMR files, billing CSVs and posted readings) before it is used for billing or any other decision. Misuse, careless use, or use against these terms or the documentation is the Municipality's responsibility.
7. No warranty
To the fullest extent the law allows, the Software is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. XSSIT does not warrant that it is free of errors or that it will run without interruption.
8. Limitation of liability
To the fullest extent the law allows, XSSIT is not responsible for:
loss, corruption or disclosure of data, including readings, files and online readings, whatever the cause;
billing errors or any decision made from results of the Software that were not checked;
damage caused by bad usage, misuse or use against these terms or the documentation;
failures of computers, networks, servers, the readings server, the billing system or other software the Software works with;
files or data changed outside the Software;
any indirect, incidental, special or consequential damage, or loss of revenue, profit or time.
Where liability can not be excluded, XSSIT's total liability is limited to the amount the Municipality paid XSSIT for the Software in the twelve months before the event.
9. Updates and support
XSSIT may publish updates, which the Software offers to install. Support, changes and new features are given as agreed between XSSIT and the Municipality. These terms apply to every update.
10. Confidentiality
The Software, its installer, its documentation and any technical information about them are confidential to XSSIT. The Municipality keeps them confidential and shares them only with the staff who need them to use the Software.
11. End of the licence
The licence ends when the agreement with the Municipality ends, or at once if these terms are breached. XSSIT may then revoke the licence keys. When it ends, the Software must be uninstalled from every computer; the Municipality keeps its own data and the files it produced.
12. Changes and contact
XSSIT may update these terms; the version published with the documentation of the version in use applies. Questions about these terms go to XTREME SOFTWARE SOLUTIONS through xssit.com.
